The specific scope of work, deliverables, timelines, and fees for any project or service will be detailed in a separate Statement of Work (SOW) or service agreement mutually agreed upon by both parties. These Terms and Conditions will apply concurrently with any such SOW.

All intellectual property rights associated with the methodology, tools, and general know-how developed or used by Forgepoint Solutions in providing its services remain the property of Forgepoint Solutions. Any custom software, reports, or unique deliverables created specifically for you under an SOW will be owned by you upon full payment, as specified in the SOW.

5. Confidentiality

Both parties agree to treat all information disclosed during the course of engagement that is marked as confidential or would reasonably be understood to be confidential as such. This includes proprietary business information, technical data, strategies, and customer information. Confidentiality obligations shall survive termination of any service agreement.

6. Payment Terms

Payment terms for all services rendered by Forgepoint Solutions will be outlined in the respective SOW or service agreement. Invoices are due upon receipt or as otherwise specified in the agreement. Failure to make timely payments may result in suspension or termination of services, and interest may be charged on overdue amounts.

7. Limitation of Liability

To the fullest extent permitted by law, Forgepoint Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use our services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our services; or (d) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our services by any third party. Our total liability to you for any claim arising out of or relating to these Terms or our services, whether in contract, tort, or otherwise, will not exceed the amount you have paid to Forgepoint Solutions for the specific service from which the liability arose in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Forgepoint Solutions, its officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your breach of these Terms, your use of our services, or any infringement of any third-party rights.

9. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the services provided by Forgepoint Solutions shall be settled by arbitration in Austin, Texas, in accordance with the rules of the American Arbitration Association.

10. Changes to Terms

Forgepoint Solutions reserves the right to modify these Terms and Conditions at any time. We will provide notice of any significant changes by posting the updated Terms on our website. Your continued use of our services after such modifications constitutes your acceptance of the new Terms.
